Governance
Quantedge Foundation (Singapore) Limited ("the Foundation") complies with the relevant guidelines of the Code of Governance for Charities and Institutions of Public Character (IPCs), and is committed to holding ourselves and our partners accountable to high standards of organisational integrity and responsible stewardship.
The Board is collectively responsible for promoting the success of the Foundation by directing and supervising the Foundation's affairs, in accordance with the Objects under its Constitution.The Board has formed four Board Sub-Committees to give focus to the areas of Audit & Risk, Nominations & Human Resource, Investment and Programmes & Services. Each Committee has its own terms of reference, roles and responsibilities that are approved by the Board.Audit & Risk CommitteeThe Audit & Risk Committee assists the Board in overseeing the effectiveness of financial and management controls, internal processes and risk management of the Foundation. It also facilitates the external audit of the Foundation for the Board to provide assurance of the reliability of financial reporting, safeguarding of assets and compliance with relevant laws and regulations. TreasurerThe Treasurer oversees the finance functions of the Foundation and is responsible for establishing the appropriate accounting and financial management policies and guidelines to ensure accountability and legitimate use of the Foundation’s financial resources. The Treasurer also advises the Board on financial matters such as the annual budget, cash management and investment opportunities for the Foundation’s reserves.Investment CommitteeThe Investment Committee provides oversight of the Foundation’s charitable reserves. It guides how the Foundation may maintain an adequate level of reserves for its medium-term operating needs and charitable commitments, while investing its longer-term reserves appropriately to achieve the Foundation’s philanthropic objectives and ensure its financial sustainability. Nominations & Human Resource CommitteeThe Nominations & Human Resource Committee assists the Board in implementing the Foundation's Human Resource Policy, and ensures an effective Board succession plan. It is empowered to establish and review the Foundation's organisation structure, assess performance and set remuneration for staff, as well as establish relevant performance criteria and evaluate the effectiveness of the Board. Programmes & Services CommitteeThe Programmes & Services Committee oversees the portfolio of charitable programmes and services funded by the Foundation and assists the Board in evaluating and monitoring the effectiveness of these programmes in meeting the Foundation's objectives. It is also responsible for overseeing the development of new programmes and/or services. Accordingly, it comprises Board members and Advisors who are most familiar with the priorities, approaches and operations of the Foundation's programmes.
